Terms of Reference: Corporate Laws Committee

  1. To analyse Corporate Laws, the Indian Partnership Act and Limited Liability Partnership, Rules, Regulations, Guidelines, Notifications, Schemes, Schedules issued thereunder, vis-à-vis best global practices and make appropriate representation/suggestions to the concerned Ministries of Government and to participate as well as to facilitates in the Law-making process.
  2. To provide support to the Ministry of Corporate Affairs or other Regulators/ Government Departments/Authorities in implementation of the initiatives taken by them.
  3. To analyze various issues/queries relating to Corporate Laws, either suo-moto or as referred by the Ministry of Corporate Affairs or other Regulators/ Government Departments/Authorities.
  4. To undertake study on the subjects relating to Corporate Laws issues on the functioning of the offices of the Registrar of Companies (ROC), Official Liquidators (OL), Regional Directorates (RDs) through institutional studies or through examination of specific cases.
  5. To bring out Newsletter/ E-Newsletter/ Publication/ Books/ Guidance Notes/ Application Guides/ White Papers/ Background Material/ Commentaries/ Advisories related to the subjects covered under the Corporate Laws and Corporate Governance.
  6. To conduct Research about the difficulties/problems being faced by the Corporate Sector in view of the rapid changes taking place in the Corporate Laws world over.
  7. To facilitate training to Government authorities/Training academies/universities/management institutes/ business schools to members/stakeholders in the corporate & other related areas.
  8. To conduct Certificate Courses/organize Regional, National Conference/ programs/Workshop/ Seminar/ Training programme/ Refresher Course and Industrial Training’s/Industrial Visits in the areas of Corporate Laws either by the Committee itself or in association with other Committee and/or Ministries/ industry associations/chambers of commerce other bodies /organizations and Corporate sector.
  9. To analyze and provide recommendations on statutory and regulatory frameworks relating to corporate laws and corporate governance, and allied compliance requirements; to identify implementation challenges faced by the corporate sector in a dynamic and globalised environment; and to suggest appropriate reforms to the Government and regulatory authorities.
  10. To promote Corporate Laws and Corporate Social Responsibility practices in enterprises including Public sectors, constitute Study Groups on various issues relating to Corporate Laws.
  11. To constitute Study Groups, as considered necessary, to deliberate on specific issues arising under corporate laws, including governance prescribed under statutory and regulatory frameworks, and to submit technical recommendations thereon.
  12. To interact with various relevant bodies including Ministries of Government, industry associations, chambers of commerce on various issues relating to Corporate Laws.
  13. To consider various issues relating to Corporate Laws and making recommendations to the appropriate authority as well as to offer suggestions and views on various Codes and Draft Legislations / Regulations.
